These Terms of Service govern the relationship between Eikr Intelligence OÜ (registry code 17486797, Tallinn, Estonia — "Eikr", "we", "us") and the client engaging our services ("Client", "you").
By engaging Eikr for any service — including scoping calls, project delivery, hosting, or retainer arrangements — you agree to these Terms.
Eikr provides custom AI-powered B2B systems including but not limited to CRMs, automation workflows, dashboards, AI assistants, voice agents, and other bespoke software solutions.
The specific scope, deliverables, timeline, and pricing for each engagement are defined in a written Project Scope Agreement or Statement of Work agreed between the parties before work commences. These Terms apply to and incorporate all such agreements.
A discovery call is provided free of charge and without obligation. No work commences until a scope and payment terms are agreed in writing.
Payment terms are defined per project but typically follow one of two models:
Invoices are payable within 14 days of issue unless otherwise agreed. Late payments may incur interest at the rate provided by Estonian law. Eikr reserves the right to suspend hosted services where invoices remain unpaid for more than 30 days after the due date.
Payments are processed in EUR. All prices are exclusive of VAT where applicable.
Unless otherwise agreed in writing:
Third-party software, libraries, and APIs used in the build are subject to their respective licences. Eikr will identify material third-party dependencies in the project documentation.
Both parties agree to keep confidential all non-public information disclosed during the engagement, including business processes, technical architectures, pricing, and client data. This obligation survives termination of the engagement for a period of 3 years.
Confidentiality does not apply to information that is or becomes publicly known through no fault of the receiving party, or that must be disclosed by law.
Where Eikr hosts systems on behalf of the Client, the following applies:
The Client agrees to:
Delays caused by the Client's failure to provide required input may result in revised timelines and additional costs, communicated in advance.
Eikr's total liability to the Client under or in connection with any engagement shall not exceed the total fees paid by the Client to Eikr in the 12 months preceding the event giving rise to the claim.
Eikr is not liable for:
Either party may terminate a retainer engagement with 30 days' written notice. Project-based engagements may be terminated by mutual written agreement.
Eikr may terminate immediately upon material breach by the Client, including non-payment, misuse of delivered systems, or breach of confidentiality obligations.
Upon termination, the Client shall pay all fees for work completed up to the termination date. Eikr shall deliver all completed work and, where applicable, provide a data export within 14 days of termination.
These Terms are governed by the laws of the Republic of Estonia. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Harju County Court in Tallinn, Estonia.
Before initiating formal proceedings, both parties agree to attempt resolution in good faith through direct communication for a period of at least 30 days.
Eikr may update these Terms from time to time. Active clients will be notified by email at least 30 days before material changes take effect. Continued use of Eikr services after the notice period constitutes acceptance of the updated Terms.

Käesolevad teenuse tingimused reguleerivad suhet Eikr Intelligence OÜ (registrikood 17486797, Tallinn, Eesti — „Eikr", „meie") ja meie teenuseid kasutava kliendi („Klient", „teie") vahel.
Eikri teenuste kasutamisega — sealhulgas ulatuse määramise kõned, projekti elluviimine, majutus või retainerikokkuleppe — nõustute käesolevate tingimustega.
Eikr pakub kohandatud tehisintellektipõhiseid B2B süsteeme, sealhulgas CRM-e, automatiseerimistöövoogusid, armatuurlaudasid, tehisintellekti assistente, häälagente ja muid tarkvara lahendusi.
Iga projekti konkreetne ulatus, tarnekohustused, ajakava ja hind määratletakse kirjalikus Projekti ulatuse kokkuleppes enne töö alustamist. Käesolevad tingimused kohalduvad kõikidele sellistele kokkulepetele ja hõlmavad neid.
Avastuskõne on tasuta ja kohustuseta. Töö algab alles pärast ulatuse ja maksetingimuste kirjalikku kokkulepet.
Maksetingimused määratletakse projekti kaupa, kuid tavaliselt järgitakse ühte kahest mudelist:
Arved tuleb tasuda 14 päeva jooksul alates väljastamisest, kui ei ole kokku lepitud teisiti. Hilinenud maksete korral võib kohalduda seadusjärgne viivis. Eikr jätab endale õiguse peatada majutusteenused, kui arved jäävad tasumata rohkem kui 30 päevaks pärast tähtaega.
Maksed töödeldakse eurodes. Kõik hinnad ei sisalda käibemaksu, kui see on kohaldatav.
Kui ei ole kirjalikult teisiti kokku lepitud:
Kolmandate osapoolte tarkvara, teeke ja API-sid reguleerivad nende vastavad litsentsid.
Mõlemad pooled kohustuvad hoidma konfidentsiaalsena kogu mitteavalikku teavet, mis on projekti käigus avaldatud, sealhulgas äriprotsessid, tehnilised arhitektuurid, hinnad ja kliendiandmed. See kohustus kehtib kuni 3 aastat pärast koostöö lõppemist.
Konfidentsiaalsuskohustus ei kehti teabe suhtes, mis on avalikult teada ilma vastuvõtva poole süüta, või teabe suhtes, mille avaldamine on seadusega nõutud.
Kui Eikr majutab süsteeme Kliendi nimel, kehtib järgmine:
Klient kohustub:
Eikri kogu vastutus Kliendi ees seoses ühegi projektiga ei ületa kogusummat, mille Klient on Eikrile tasunud 12 kuu jooksul enne kahju tekkimise sündmust.
Eikr ei vastuta:
Kumbki pool võib retainerikokkuleppe lõpetada 30-päevase kirjaliku etteteatamisega. Projektipõhised kokkulepped võib lõpetada poolte kirjalikul kokkuleppel.
Eikr võib kokkulepped viivitamata lõpetada Kliendi olulise rikkumise korral, sealhulgas maksmata jätmisel, tarnitud süsteemide väärkasutamisel või konfidentsiaalsuskohustuste rikkumisel.
Lõpetamisel tasub Klient kõik lõpetamiskuupäevaks tehtud töö eest. Eikr esitab kõik lõpetatud tööd ja vajaduse korral andmeekspordi 14 päeva jooksul.
Käesolevaid tingimusi reguleerib Eesti Vabariigi õigus. Kõik käesolevate tingimustega seotud vaidlused alluvad Harju Maakohtu ainupädevusele Tallinnas.
Enne ametlike menetluste algatamist kohustuvad mõlemad pooled püüdma lahendust heas usus otsekontakti kaudu vähemalt 30 päeva jooksul.
Eikr võib käesolevaid tingimusi aeg-ajalt uuendada. Aktiivseid kliente teavitatakse e-posti teel vähemalt 30 päeva enne oluliste muudatuste jõustumist. Eikri teenuste jätkuv kasutamine pärast teatamisperioodi tähendab uuendatud tingimustega nõustumist.

Estos Términos de Servicio rigen la relación entre Eikr Intelligence OÜ (código de registro 17486797, Tallin, Estonia — "Eikr", "nosotros") y el cliente que contrata nuestros servicios ("Cliente", "usted").
Al contratar cualquier servicio de Eikr — incluyendo llamadas de definición de alcance, entrega de proyectos, alojamiento o acuerdos de retainer — usted acepta estos Términos.
Eikr ofrece sistemas B2B personalizados impulsados por IA, incluyendo CRMs, flujos de automatización, paneles de control, asistentes de IA, agentes de voz y otras soluciones de software a medida.
El alcance específico, los entregables, el cronograma y el precio de cada proyecto se definen en un Acuerdo de Alcance del Proyecto acordado por escrito entre las partes antes de comenzar el trabajo.
La llamada de descubrimiento es gratuita y sin compromiso. No se inicia ningún trabajo hasta que el alcance y las condiciones de pago se acuerden por escrito.
Las facturas son pagaderas en un plazo de 14 días desde su emisión. Los pagos tardíos pueden generar intereses según la legislación estonia. Eikr se reserva el derecho de suspender los servicios de alojamiento si las facturas permanecen impagadas más de 30 días tras el vencimiento.
Los pagos se procesan en EUR. Todos los precios son sin IVA donde sea aplicable.
Ambas partes acuerdan mantener confidencial toda la información no pública divulgada durante el proyecto, incluidos procesos empresariales, arquitecturas técnicas, precios y datos de clientes. Esta obligación permanece vigente durante 3 años tras la finalización del proyecto.
La responsabilidad total de Eikr frente al Cliente no superará el total de los honorarios pagados por el Cliente a Eikr en los 12 meses anteriores al evento que origina la reclamación.
Eikr no será responsable de: daños indirectos o consecuentes; fallos causados por servicios de terceros o eventos de fuerza mayor; problemas derivados del uso indebido de los sistemas entregados por parte del Cliente.
Cualquiera de las partes puede terminar un acuerdo de retainer con 30 días de preaviso por escrito. Los proyectos puntuales pueden terminarse por acuerdo mutuo escrito.
Eikr puede terminar inmediatamente en caso de incumplimiento material por parte del Cliente, incluyendo impago, uso indebido de los sistemas entregados o incumplimiento de las obligaciones de confidencialidad.
Estos Términos se rigen por las leyes de la República de Estonia. Cualquier disputa estará sujeta a la jurisdicción exclusiva del Tribunal de Condado de Harju en Tallin, Estonia.
Eikr puede actualizar estos Términos periódicamente. Los clientes activos serán notificados por email con al menos 30 días de antelación antes de que los cambios materiales entren en vigor.
